Clear Terms. Better Working Relationships.

Terms & Conditions

These Terms and Conditions explain the rules that apply when you use The DG Holdings website, request a quote, or work with us for development, marketing, design or related digital services.

01

Introduction

These Terms and Conditions apply to The DG Holdings website, communications and professional services.

By using our website, submitting an inquiry, accepting a quotation, making a payment or engaging us for work, you agree to the terms that apply to that interaction or project.

We have tried to keep these terms practical and easy to understand. Their purpose is to create clear expectations and help both sides work together efficiently.

In simple terms: we agree to provide professional services based on the agreed scope, and clients agree to provide the information, approvals and payments needed to keep the project moving.

02

Our Services

The DG Holdings may provide digital services including website development, e-commerce development, UI/UX design, SEO, digital marketing, social media marketing, paid advertising, branding and related technical services.

The exact work included in a project will normally be described in a proposal, quotation, invoice, project brief or other written communication agreed between both parties.

Anything outside that agreed scope may be treated as additional work and may require an updated price or timeline.

03

Quotes, Proposals & Scope

Quotations and proposals are based on the information available to us at the time they are prepared.

Pricing may change if project requirements, functionality, page count, integrations, marketing requirements or other important details change.

Scope Changes

We understand that projects evolve. If you request work outside the agreed scope, we will normally discuss the change before proceeding and may provide an additional quotation or revised timeline.

04

Payments & Invoicing

Payment terms will normally be stated in the relevant proposal, invoice or project agreement.

Depending on the project, The DG Holdings may require an upfront deposit, milestone payments, monthly payments or payment in full before final delivery.

  • Work may begin after any required initial payment is received.
  • Final files or production deployment may be withheld until outstanding balances are paid.
  • Ongoing services may be paused if invoices become overdue.
  • Third-party costs may be billed separately.
05

Client Responsibilities

A successful project depends on cooperation from both sides. Clients are responsible for providing information, access, content and feedback reasonably required to complete the work.

  • Logos, images and brand assets
  • Website or hosting credentials
  • Domain or platform access
  • Advertising account access where required
  • Timely approvals and feedback
  • Accurate business and product information

Clients are responsible for ensuring they have permission to use any text, images, trademarks, videos or other materials provided to us.

06

Project Timelines

Project timelines are based on expected scope, workload and availability of required information.

We aim to meet agreed timelines, but estimated completion dates are not guaranteed unless specifically agreed in writing.

Projects may be delayed if we are waiting for content, approvals, access, payments, third-party systems or client feedback.

If a project remains inactive for a significant period because required client input is missing, the work may need to be rescheduled based on our current availability.

07

Revisions & Feedback

Where revisions are included, they are intended to refine the approved concept and agreed scope.

A revision should not normally mean restarting the entire project with a completely different direction.

Large redesigns, additional functionality, new pages, new campaigns or changes requested after approval may be treated as additional work.

Clear and consolidated feedback helps us deliver changes faster and avoids unnecessary delays.

08

Intellectual Property

Ownership of final deliverables depends on the project and any specific agreement between The DG Holdings and the client.

Unless otherwise agreed, ownership of custom final work created specifically for the client may transfer after all related invoices have been paid in full.

The DG Holdings may retain ownership of:

  • Pre-existing templates and tools
  • Reusable code and libraries
  • Internal workflows and methods
  • Third-party assets subject to their own licenses

Unless confidentiality requirements prevent it, we may request permission to showcase completed work in our portfolio or marketing materials.

09

Third-Party Services

Digital projects often depend on services operated by other companies, such as hosting providers, domain registrars, payment gateways, APIs, analytics platforms, advertising networks, plugins and cloud providers.

The DG Holdings does not control these independent providers and cannot guarantee their availability, pricing, security, compatibility or future functionality.

Unless specifically included in our proposal, clients are responsible for third-party subscription fees, licenses, advertising spend, hosting charges or other external costs.

10

Marketing, SEO & Advertising Results

Digital marketing performance depends on many factors outside the control of any agency, including competition, search engine updates, platform algorithms, customer behavior, market demand and advertising costs.

We will use professional strategies based on the agreed scope, but we do not guarantee specific rankings, traffic, leads, sales, revenue or return on investment.

Performance forecasts or strategic recommendations should be understood as professional estimates rather than guaranteed business outcomes.

11

Cancellations & Refunds

Cancellation and refund terms may depend on the service, project stage and individual agreement.

Because agency work often includes planning, research, reserved time and work completed before final delivery, payments already made may not always be refundable.

If a project is cancelled after work begins, the client may still be responsible for completed work and any committed third-party expenses.

12

Limitation of Liability

We aim to provide reliable and professional services, but digital work may depend on technology, external platforms and circumstances outside our reasonable control.

To the extent permitted by applicable law, The DG Holdings will not be responsible for indirect, incidental, special or consequential losses arising from use of our website or services.

Nothing in these terms is intended to exclude liability that cannot legally be excluded.

13

Use Of Our Website

You may use The DG Holdings website for legitimate informational and business purposes.

You must not knowingly attempt to damage, disrupt, overload or interfere with the website, its systems or another visitor's use of it.

You must not attempt unauthorized access to systems, accounts, servers or data.

Website content including text, graphics, branding, layouts and design may be protected by intellectual property rights and should not be commercially reused without permission.

14

Ending Or Suspending Services

Either party may end an ongoing service according to the relevant agreement or notice period.

We may suspend or terminate work in cases of serious non-payment, unlawful activity, abuse, repeated lack of required information or another material breach of the agreement.

Amounts already due remain payable even if services are suspended or ended.

15

Changes To These Terms

These Terms and Conditions may be updated from time to time as our website, services or business practices change.

Updated terms will be published on this page and the “Last Updated” date will be revised.

Where a separate project-specific agreement exists, that agreement may contain additional or different terms that apply to that specific engagement.
